Terms of Service

These Terms of Service (“Terms”), together with the Bridges Publishing House Privacy Policy (https://bridgespublishinghouse.com/privacy-policy) and, if applicable, your Subscription Agreement and Billing Policy, constitute the binding agreement between you and Bridges Publishing House (“BPH,” “we,” “us,” or “our”) governing your access to and use of our website (https://bridgespublishinghouse.com), mobile applications, and services (collectively, the “Services”).

“Bridges Publishing House” includes its officers, directors, employees, consultants, affiliates, subsidiaries, and agents.

The Services may include: (1) publishing services; (2) online book sales and distribution; (3) educational courses and training programs; (4) digital content and resources; (5) consultation services; and (6) other related services as made available through our platform.

By using the Services, you agree to be bound by these Terms, as updated from time to time in accordance with Section 13 below. These Terms require that disputes between you and Bridges Publishing House be resolved through binding arbitration or small claims court.

SMS Communications

By registering for our Services, you consent to receive SMS text messages from Bridges Publishing House regarding account notifications, service updates, appointment reminders, and promotional offers. Message frequency varies. Standard message and data rates may apply. To unsubscribe from SMS communications, reply STOP to any message.   1. Account Eligibility and Registration

1.1 Eligibility Requirements

To use the Services, you must:

  • Be at least eighteen (18) years of age
  • Have not previously been suspended or removed from the Services
  • Register for and use the Services in compliance with all applicable laws and regulations

1.2 Account Registration

Using certain Services requires creating a Bridges Publishing House account. During registration, you must provide accurate, current, and complete information, including but not limited to email address, contact information, username, and password (“Registration Information”).

You agree to:

  • Provide truthful, accurate, current, and complete information
  • Not impersonate any person or entity
  • Not misrepresent any affiliation
  • Do not use false information or conceal your identity
  • Maintain the confidentiality and security of your Registration Information
  • Immediately notify us if you believe your account security has been compromised

You are solely responsible for all activities conducted through your account. If you share your Registration Information with others, we will consider their activities authorized by you.

  1. Publishing Services and Author Rights

2.1 Rights Granted to Publisher

When you engage Bridges Publishing House for publishing services, you grant us the following rights during the term of your publishing agreement:

  1. Print Publication Rights:The right to publish, market, and distribute the Work in printed book form, including softcover and hardcover editions, throughout the world.
  2. Electronic Publication Rights:The right to publish, market, and distribute the Work in electronic book (eBook) formats throughout the world.
  3. Translation Rights:The right to license the Work for publication and sale in any translation throughout the world.
  4. Digital Distribution Rights:The right to store, use, transmit, and distribute electronic copies of the Work as necessary for printing and distribution processes, extending to our vendors, partners, and affiliates.
  5. Marketing and Preview Rights:The right to make up to twenty percent (20%) of the Work viewable on our website or partner websites to facilitate sales.
  6. Promotional Rights:The right to post information regarding the Author and Work, including author biographical information, book descriptions, and promotional materials to support marketing efforts.
  7. Publication Timeline:The right to determine the final publication date, with input and consideration from the Author, within one (1) year of contract execution.

2.2 Copyright Ownership

The Author retains copyright ownership in the Work and hereby licenses to Bridges Publishing House only the specific rights described in Section 2.1. Author’s copyright notice shall appear in all published editions.

2.3 Reserved Rights

All rights not specifically granted to Bridges Publishing House are reserved by the Author, including but not limited to:

  • Audiobook rights
  • Graphic novel or illustrated adaptation rights
  • Commercial merchandise rights
  • Television and film rights
  • Dramatic performance rights
  • Radio and podcast rights
  • Derivative works, including screenplays, teleplays, television series, and stage plays

  1. Publication Process and Author Obligations

3.1 Publisher Obligations

Bridges Publishing House agrees to publish the Work in print and eBook formats in the manner, format, and pricing we deem commercially appropriate, subject to the following:

  1. Proofs (galley or page proofs) shall be provided to the Author for review, corrections, and approval within reasonable timelines.
  2. Marketing support, including website listing, distribution through Ingram’s Title Management System and major catalogs (iPage, Edelweiss, Overdrive), dedicated book webpage, assistance with Advanced Review Copies, promotional campaigns, and author coaching on marketing strategies.

3.2 Author Obligations

The Author agrees to:

  1. Complete and execute all reasonably requested instruments, including manuscript preparation according to our style guidelines, author questionnaire completion, and timely review of edited manuscripts (within one week) and cover/text layouts (within 2-3 days).
  2. Actively publicize and market the work using personal website and social media platforms, secure endorsements and reviews, and partner with Bridges Publishing House on promotional activities.
  3. Collaborate on creative development, including manuscript formatting, editing, cover design, and interior layout under our direction and approval.
  4. Rank cover designs submitted by the Publisher; design change requests may only be submitted after final cover selection. Publisher reserves the right to make final cover decisions in consultation with the Author.
  5. Limit revision requests to two (2) sets of changes to cover and interior layout prior to Digital ARC creation, and one (1) set of final changes before publication. Additional changes may delay publication unless otherwise approved.
  6. Work directly with Bridges Publishing House on all matters related to the Work without third-party representation unless mutually agreed in writing.

3.3 Publication Delays

Failure to meet agreed-upon deadlines may result in publication date adjustments. Publisher will make reasonable efforts to maintain original schedules while ensuring quality standards.

  1. Payment Terms

4.1 Service Fees

Prior to receiving Services, you must select an applicable service plan, enter into a service agreement, and pay all associated fees. By initiating services, you authorize us to charge applicable fees and any additional charges incurred in connection with Service use.

4.2 Payment Processing

All payments are processed securely through trusted payment gateways (Stripe, PayPal). We accept credit cards, debit cards, and PayPal payments. We do not accept cryptocurrency payments.

4.3 Pricing and Taxes

All prices are in U.S. Dollars (USD). All sales are final; payments are non-refundable except as required by applicable law. You are responsible for all applicable taxes.

4.4 Subscription Services

For subscription-based services, you will be automatically charged according to your billing cycle (monthly or as specified in your plan). You may cancel subscriptions according to the terms specified in your service agreement and our Billing Policy.

4.5 Service Suspension

Failure to pay amounts due may result in service suspension or termination at our sole discretion, subject to applicable law.

  1. Prohibited Conduct

You agree not to:

  • Use the Services for unlawful purposes or in violation of any local, state, national, or international law
  • Violate or encourage violation of third-party rights, including intellectual property rights
  • Post, upload, or distribute unlawful, defamatory, libelous, inaccurate, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise objectionable content
  • Interfere with security-related features or the operation and enjoyment of the Services by others
  • Upload or disseminate viruses, malware, spyware, or other malicious code
  • Collect personal information about users or third parties without consent
  • Use automated means (robots, spiders, scrapers) to access or monitor Service content without our express written permission
  • Engage in fraudulent activity, impersonate others, claim false affiliations, or falsify your identity
  • Sell or transfer access granted under these Terms
  • Circumvent or attempt to circumvent any access restrictions or security measures

  1. Intellectual Property Rights

6.1 License Grant

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. This license does not grant ownership of any intellectual property rights in the Services or content accessed.

6.2 Restrictions

You may not:

  • Modify, publish, transmit, reverse engineer, participate in the transfer or sale of, or create derivative works from the Services
  • Upload content protected by copyright, trademark, or other proprietary rights without the owner’s permission
  • Resell or offer for resale any Services
  • Remove, obscure, or alter proprietary rights notices or legal notices
  • Use framing techniques to enclose our trademarks, logos, or proprietary information without written consent
  • Use meta tags or hidden text utilizing our name or trademarks without written consent

6.3 Service Reproduction

No part of the Services may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for commercial purposes without our express written consent.

  1. User-Submitted Content

7.1 Content Ownership and Rights

You represent and warrant that you own or have the necessary rights to any content you submit to the Services, including manuscripts, materials, images, and other works. By submitting content, you grant Bridges Publishing House the rights specified in your publishing or service agreement.

7.2 Copyright Infringement Claims

If you believe your copyrighted work has been infringed, contact us at:

Provide the following information:

  • Electronic or physical signature of the copyright owner or authorized representative
  • Description of the copyrighted work allegedly infringed
  • Description of where the infringing material is located
  • Your contact information (address, telephone, email)
  • Statement of good faith belief that use is unauthorized
  • Statement under penalty of perjury that notification information is accurate and you are authorized to act on behalf of the copyright owner

We maintain a policy of terminating accounts of repeat copyright infringers in appropriate circumstances.

  1. Third-Party Content and Services

The Services may contain links to third-party websites, products, or services. We provide such links for convenience and do not control, endorse, or assume responsibility for third-party content, advertising, products, or services. You acknowledge that we are not responsible for the legality, accuracy, or appropriateness of third-party content and shall not be liable for any damage arising from use of third-party websites or services.

  1. Imported Data and Lead Information

You represent that any customer information, contact lists, or lead data you upload or import to the Services was collected and is used in compliance with all applicable data privacy and security laws, including notice and consent requirements. You acknowledge that such data may be used by Bridges Publishing House as specified in our Privacy Policy and service agreements.

  1. Disclaimers of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED. WHILE WE STRIVE TO MAINTAIN SAFE, SECURE, ACCURATE, AND WELL-FUNCTIONING SERVICES, WE CANNOT GUARANTEE CONTINUOUS OPERATION OR ERROR-FREE ACCESS.

BRIDGES PUBLISHING HOUSE SPECIFICALLY DISCLAIMS:

  • All implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, quiet enjoyment, or non-infringement
  • Any warranties arising from course of dealing, usage, or trade
  • Any guarantee of accuracy or liability for errors in information, content, recommendations, or materials

YOU ASSUME ALL RISK FOR ANY DAMAGES RESULTING FROM YOUR USE OF OR ACCESS TO THE SERVICES.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGES PUBLISHING HOUSE SHALL NOT BE LIABLE FOR ANY PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, DIRECT, INDIRECT, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS GREATER. THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow certain warranty disclaimers or liability limitations. Accordingly, some limitations may not apply to you.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Bridges Publishing House from all claims, liabilities, damages, losses, and expenses (including attorneys’ fees and costs) arising from:

  • Your access to, use of, or alleged use of the Services
  • Your violation of these Terms or applicable law
  • Your violation of third-party rights, including intellectual property, publicity, confidentiality, property, or privacy rights
  • Any disputes between you and third parties

We reserve the right, at our expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of such claims.

  1. Modification of Terms

Bridges Publishing House reserves the right to modify these Terms at any time. Modifications and additional terms become effective immediately upon notice, which may include posting on our website or sending an email notification. Your continued use of the Services following notice constitutes acceptance of the modified Terms.

  1. Term and Termination

14.1 Termination for Breach

Your permission to use the Services automatically terminates if you violate these Terms. We may also suspend or terminate your account and access at any time, with or without notice, at our sole discretion.

14.2 Effect of Termination

After termination, previously accessible information and content may no longer be available through your account. However, we may continue to store such information, and it may remain stored by third parties to whom it was transferred during your Service use.

  1. Dispute Resolution and Arbitration

15.1 Agreement to Arbitrate

In the interest of expedient and cost-effective dispute resolution, you and Bridges Publishing House agree to resolve disputes through binding arbitration or small claims court rather than in courts of general jurisdiction. Arbitration is more informal than court proceedings, uses a neutral arbitrator instead of a judge or jury, allows limited discovery, and is subject to very limited court review.

Arbitrators may award the same damages and relief available in court. Any arbitration occurs on an individual basis; class arbitrations and class actions are not permitted.

15.2 Waiver of Class Action

There shall be no right or authority for any claims to be arbitrated or litigated on a class action, consolidated basis, or in a purported representative capacity on behalf of the general public, other Service users, or other persons similarly situated. We would not provide the Services without this waiver. You acknowledge you are under no obligation to use the Services if unwilling to waive class action rights, and you expressly agree to this waiver.

15.3 Arbitration Procedures

Any arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The arbitrator’s decision is final and binding. Judgment on the arbitration award may be entered in any court with jurisdiction.

  1. Governing Law and Jurisdiction

These Terms and the relationship between you and Bridges Publishing House are governed by California law, without regard to conflict of law principles. Subject to Section 15 requiring arbitration, to the extent any lawsuit or court proceeding is permitted, you and Bridges Publishing House agree to submit to the exclusive personal jurisdiction of state and federal courts located in California.

  1. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, Billing Policy (if applicable), and any service-specific agreements, constitute the entire agreement between you and Bridges Publishing House regarding Service use and may only be amended by written agreement signed by authorized representatives.

17.2 No Waiver

Failure to require performance of any provision does not affect our right to require performance subsequently. No waiver of any breach or default constitutes a waiver of any subsequent breach, default, or the provision itself.

17.3 Severability

If any provision is held invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible, and the remaining provisions shall remain in full force and effect.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Section Headers

Section headers are for convenience only and do not affect the interpretation of these Terms.

17.6 Electronic Communications

Visiting our website or sending emails to us constitutes electronic communication. You consent to receive electronic communications, and agree that all agreements, notices, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.

17.7 Export Control

You may not use or export Services in violation of U.S. export laws and regulations. If you are on the U.S. Treasury Department’s list of Specially Designated Nationals, you may not engage in commercial activities through our Services.

  1. Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, some or all Services at any time without notice or further obligation. We shall not be liable to you or third parties for any modification, suspension, or discontinuance of Services. Continued Service use after modifications constitutes acceptance of changes.
